Summary

Revises the Securities Exchange Act to require issuers of specified registered securities to maintain accurate records reflecting the transactions and dispositions of the issuers' assets and to maintain an accounting control system to insure management control and accountability for assets. Prohibits any falsification of such records or any false or misleading statement, or omission of a material statement, in connection with any examination or audit of an issuer. Prohibits specified issuers of stock required to be registered under the Securities Exchange Act and for any domestic concern to make use of any means of interstate commerce to bribe (1) any official of a foreign government, (2) any foreign political party, official thereof, or candidate for political office, or (3) any person serving as an intermediary to such official, party or candidate for the purpose of using his or its influence with such foreign government or failing to perform his or its official functions to assist such issuer or concern in obtaining business with or influencing legislation of such foreign government.
