Summary
Eelnõu peamine eesmärk on äriseadustikus (ÄS) sätestatud osaühingu regulatsiooni muutmine, et lihtsustada osaühingu osade õiguskäivet ning kaotada ebavajalikud piirangud ning vorminõuded. Muudatuste väljatöötamisel on eelkõige arvestatud rahvusvahelise osanike ringiga osaühingute spetsiifiliste huvide ning nende tegevusega seoses praktikas ilmnenud probleemidega, mida eelnõus välja pakutud muudatuste kaudu soovitakse lahendada. Eelnõu eesmärgiks on ühtlasi suurendada Eesti osaühingu kui ettevõtlusvormi atraktiivsust konkurentsis muude riikide, eelkõige teiste EL liikmesriikide sarnaste ettevõtlusvormidega. Eelnõu eesmärgiks on vähendada olukordi, kus investorid loobuvad Eestiga seotud äriprojekti läbi viimiseks Eesti osaühingu kasutamisest osaühingu regulatsioonist tulenevate formaalsete piirangute tõttu, mille tõttu on osaühingu asutamine või tegutsemine või selle osalustega tehingute tegemine keeruline või kulukas.
