Summary
Eelnõuga lihtsustatakse osaühingu osade võõrandamist ning kaotatakse ebavajalikud piirangud ja vorminõuded. Eelnõuga kehtestatakse osa miinimumväärtuseks senise ühe euro asemel üks sent, tunnistatakse kehtetuks osa võõrandamise ja pantimise kohustustehingu vorminõue kõigi osaühingute jaoks ning võimaldatakse sellisel osaühingul, mille osakapital on üle 25 000 euro, näha põhikirjas ette osa võõrandamise ja pantimise käsutustehingu vormivabadus. Osaühingu osa nimiväärtuse vähendamine ühelt eurolt ühele sendile võimaldab paindlikumalt määrata osaühingu osade suurusi. Kehtiva õiguse kohaselt peab notariaalselt tõestatud olema nii osaühingu osa võõrandamise ja pantimise kohustustehing kui ka käsutustehing (välja arvatud juhul, kui osaühingu osad on registreeritud Eesti väärtpaberite registris). Kohustustehingu notariaalse tõestamise nõue tähendab, et selles vormis peavad olema lisaks müügilepingule ka näiteks optsioonilepingud jm ühinguõiguses tavalised kokkulepped, millega kohustutakse osa omandama või võõrandama. Seletuskirjas märgitakse, et osa võõrandamise ja pantimise käsutustehingu vorminõudena jääb üldiselt kehtima notariaalse tõestamise nõue, kuid eelnõuga võimaldatakse osaühingul kõigi osanike nõusolekul sellest loobuda. Sellise võimaluse saab valida osaühing, mille osakapital on üle 25 000 euro. Piirangu eesmärgiks on tagada, et osaühingul on olemas võimekus ise pidada arvestust oma osanike üle ja teavitada muudatustest osanike andmetes äriregistrit. See piirang välistab võimaluse, et vormivaba käsutustehing valitakse osaühingu asutamisel ilma osakapitali sissemakseta (ilma kohese sissemakseta saab asutada osaühingu, mille osakapital ei ole suurem kui 25 000 eurot). Üle 25 000-eurose osakapitaliga osaühinguid on praegu ligikaudu 20 000 ehk umbes 1/10 kõigist osaühingutest.
