Allows the divestment or retirement of C-5A aircraft if such aircraft is replaced through a transfer of C-5B, C-5M, or C-17 mobility aircraft in order to maintain all Guard and Reserve units at current or higher assigned manpower levels to operate the aircraft so transferred.

Medicare Audit Improvement Act of 2012

Medicare Audit Improvement Act of 2012 - Directs the Secretary of Health and Human Services (HHS) to establish a process under which the number of additional documentation requests made by a Medicare contractor pursuant to a complex prepayment or postpayment audit with respect to a hospital's Medicare part A (Hospital Insurance) claims in a year may not exceed, across all such contractors with respect to the hospital's claims, the lesser of: (1) 2% of all such claims for such year, or (2) 500 additional documentation requests during any 45-day period. Amends title XVIII (Medicare) of the Social Security Act with respect to the Medicare Integrity Program and use of recovery audit contractors. Requires the Secretary to ensure that recovery audit contracts include certain mandatory terms and conditions pertaining to: (1) penalties for certain compliance failures, (2) penalties for overturned appeals, (3) postpayment and prepayment audits, and (4) guidelines for prepayment review. Directs the Secretary to publish on the Internet website of the Centers for Medicare & Medicaid Services information on recovery audit contractor performance regarding: (1) audit rates, denials, and appeals outcomes; and (2) independent performance evaluations. Prohibits the Secretary, in conducting the Medicare Part A and Part B Rebilling Demonstration, from prohibiting any appeal by a hospital of any finding by a recovery audit contractor that an inpatient admission was not reasonably and medically necessary. Deems to be an original claim for Medicare part B (Supplementary Medical Insurance) payment a resubmitted hospital claim for Medicare part A payment for inpatient hospital services which a recovery audit contractor determines: (1) were not medically necessary and reasonable based on the site of service, but (2) would be medically necessary and reasonable in an outpatient setting of the hospital. Requires payment to be made for such a resubmitted claim for all furnished items and services for which payment may be made under Medicare part B. Deems to be a reopened claim, for purposes of a hospital's ability to resubmit a claim for Medicare payment in timely fashion, any claim that is the subject of an audit by a recovery audit contractor or a Medicare administrative contractor. Requires contracts for a recovery audit contractor to require that a physician review each denial of a claim for medical necessity made by an employee of the contractor who is not a physician.

Truth in Spending Act of 2012 - Requires the President's annual budget request to Congress to include the most recent reports of the Director of the Office of Management and Budget (OMB) regarding the difference between the actual costs and the estimated costs of direct spending legislation, including proposed legislative language, if any, in such reports. Requires OMB to submit annually for inclusion in the President's budget request reports (with follow-up reports every five fiscal years) on the total estimated cost and total actual cost of direct spending legislation for the then budget year and four outyears. Requires the President, within seven days after receiving an OMB report, to submit proposed legislative language, if any, set forth in the report to both chambers. Prescribes the procedure for fast track consideration of the legislation in both chambers. Prohibits the budgetary effects of such legislation from being entered on either PAYGO scorecard under the Statutory Pay-As-You-Go Act of 2010.

Medicare DMEPOS Market Pricing Program Act of 2012 - Amends part B (Supplementary Medical Insurance) of title XVIII (Medicare) of the Social Security Act to direct the Secretary of Health and Human Services (HHS) to establish a market pricing program for durable medical equipment (DME), prosthetics, orthotics, and supplies (DMEPOS) as a replacement for the competitive acquisition program for DMEPOS, which is hereby terminated. Directs the Secretary to: (1) conduct annual market-priced auctions from among entities supplying market priced items and services in an eligible market area selected in the auction design, (2) establish a lead product for each of specified product categories, and (3) award a contract to any entity in an eligible market area in which an auction is conducted whose bid is below a clearing price equal to the highest cost bid that will meet capacity targets in the market area. Requires the Secretary to contract with an auction expert to assist in, and a market monitor to monitor, the design, development, and functioning of the auction. Adjusts the covered DME item update for 2012 through 2014 and each subsequent year.

Grassroots Democracy Act of 2012

Grassroots Democracy Act of 2012 - Amends the Internal Revenue Code to allow a refundable credit of up to $25 ($50 in the case of a joint return), adjusted for inflation, for qualified grassroots federal congressional campaign contributions paid by the taxpayer during the taxable year. Directs the Grassroots Democracy Advisory Commission (GDAC, established by this Act) to establish a pilot program under which a qualified individual shall be provided with a "Grassroots Democracy Coupon" during the election cycle, which will be assigned a routing number and, at the individual's option, provided in either paper or electronic form. Authorizes the individual to: (1) submit the Coupon, using the routing number, in either electronic or paper form to qualified federal election candidates, and (2) allocate portions of the Coupon's value in $5 increments to a candidate (up to a maximum of $50 per candidate). Requires the GDAC to pay the candidate who transmits the Coupon to it the portion of the Coupon's value that the individual allocated to the candidate, which shall be considered a contribution under the Federal Election Campaign Act of 1971 (FECA). Amends FECA with respect to: (1) benefits for participating congressional candidates; (2) Federal Election Commission (FEC) payments to such candidates; (3) candidate use of payments; (4) qualified grassroots contribution, expenditure, and fundraising requirements; (5) certification of participating congressional candidates; (6) campaign administration; (7) prevention of the unnecessary spending of public funds; (8) remittal to the Grassroots Democracy Fund of unspent funds after an election; (9) eligibility of participating candidates for payments; (10) establishment of the Grassroots Democracy Fund in the Treasury and of a Grassroots Democracy Advisory Commission in the FEC; and (11) civil penalties for violation of contribution and expenditure requirements. Prohibits use of contributions by a participating candidate for any purposes other than an election campaign. Revises bundler disclosure requirements to repeal a specified exception and so require disclosure of persons who provided bundled contributions to the reporting committee. Extends from 60 days before a general, special, or runoff election to 120 days before such an election the period for treatment of communications as electioneering communications. Creates user fees, payable to the FEC, for candidate-designated political committees and bundlers. Amends FECA to empower the FEC to petition the U.S. Supreme Court for a writ of certiorari to appeal a civil action to enforce the Act. Requires all political committee designations, statements, and reports required to be filed under FECA to be filed: (1) directly with the FEC, and (2) in electronic form accessible by computers. Reduces from 48 hours to 24 hours after their receipt the deadline for the FEC to make designations, statements, reports, or notifications available to the public in the FEC office and on the Internet. Amends the Internal Revenue Code to repeal: (1) the alternative tax on political organizations that have net capital gains for the taxable year; and (2) the treatment as tax-exempt functions of proceeds from a political fundraising or entertainment event, from the sale of political campaign materials not received in the ordinary course of trade or business, or from any bingo game. Revises the formula limiting the amount included in the gross income of a tax-exempt organization that expends funds for an exempt function of a political committee. Repeals the application of graduated tax rates for principal campaign committees (thus applying the highest rates to such committees). Allows an individual to designate a specified portion of any overpayment of tax as a contribution to the Grassroots Democracy Fund. Amends the Communications Act of 1934 to set a station's lowest unit price for preemptible use as the charge for a broadcast by the national committee of a political party for an affiliated candidate. Authorizes the FEC to revoke a broadcast station license or construction permit only for at least three willful failures to allow reasonable access to, or to permit purchase of reasonable amounts of time for the use of, a broadcasting station by a legally qualified candidate for federal office.

Middle Class and Small Business Tax Relief Act of 2012 - Makes provisions of the Economic Growth and Tax Relief Reconciliation Act of 2001 (EGTRRA) permanent for taxpayers whose adjusted gross incomes do not exceed a specified base amount (i.e., $200,000 for individual taxpayers and $250,000 for married couples filing jointly). Revises income tax rates to increase to 39.6% the maximum income tax rate for taxpayers whose incomes exceed the base amount. Makes provisions of the Jobs and Growth Tax Relief Reconciliation Act of 2003 that reduce the tax rate on dividend and capital gains income for taxpayers whose incomes do not exceed the base amount permanent. Increases to 20% the tax rate on dividend and capital gains income for taxpayers whose incomes are  above the base amount. Amends the Internal Revenue Code to extend for an additional year: (1) the increased Hope Scholarship tax credit (designated as the American Opportunity Tax Credit), (2) the increase in the refundable portion of the child tax credit, (3) the increased percentage of the earned income tax credit for taxpayers with three or more qualifying children, (4) the disregard of tax refunds for purposes of determining eligibility for certain means tested federal programs, (5) the increased exemption from the alternative minimum tax (AMT) for individual taxpayers, and (6) the offset against the AMT for certain nonrefundable personal tax credits. Extends until December 31, 2013, the estate, gift, and generation-skipping transfer provisions of EGTRRA.

Patient Centered Quality Care for Life Act

Patient Centered Quality Care for Life Act - Directs the Secretary of Health and Human Services (HHS) to convene a Patient-Centered Health Care and Quality of Life Stakeholder Strategic Summit to: (1) analyze key health system barriers to providing patient-centered health care that integrates symptom management and other aspects of coordinated or palliative care; and (2) identify strategic solutions for collectively addressing quality of life concerns for the rapidly expanding population of patients and survivors facing serious, complex, and chronic illness in the United States and for the families of such patients and survivors. Requires the Secretary to establish a Summit Steering Committee, which shall draft a summary report detailing Summit recommendations for a national strategic action agenda to improve patient-centered care and quality of life. Amends the Public Health Service Act to require the Director of the Centers for Disease Control and Prevention (CDC) to establish a national quality of life education and awareness grants program initiative for seriously ill patients, their families, and health professionals who treat them for the purposes of encouraging an increased demand for and delivery of integrated and patient-centered care for managing their pain and symptoms and improving their quality of life. Requires the Director to award competitive grants to develop new and expand existing information, resources, and communication materials about symptom management and other aspects of patient-centered care as an integral part of quality care for serious illnesses. Directs the Administrator of the Health Resources and Services Administration (HRSA) to establish a health care professional workforce training grants program initiative for purposes of promoting and enhancing symptom assessment and management, communications skills, coordinated patient-centered care, and other quality of life focused clinical core competencies across all clinical specialties that serve seriously ill patients and patients with multiple or complex chronic diseases. Requires the Secretary: (1) to update and expand the September 2002 HRSA report, titled "The Supply, Demand and Use of Palliative Care Physicians in the United States"; (2) to establish a Quality of Life Cross-Agency Advisory Committee to assist the CDC and HRSA in conducting the national quality of life education and awareness initiative and the health care professional workforce training initiative and to disseminate initiative findings for cross agency implementation of best practices; and (3) acting through the Director of the National Institutes of Health (NIH), to develop and implement a strategy to be applied across NIH institutes and centers that is in accordance with the Advisory Committee's recommendations to expand national research programs in symptom management, palliative, psychosocial, and survivorship care.

Palliative Care and Hospice Education and Training Act - Amends the Public Health Service Act to direct the Secretary of Health and Human Services (HHS) to award grants or contracts for the establishment or operation of Palliative Care and Hospice Education Centers that: (1) improve the training of health professionals in palliative care; (2) develop and disseminate curricula relating to the palliative treatment of the complex health problems of individuals with serious or life-threatening illnesses; (3) support the training and retraining of faculty to provide instruction in palliative care; (4) support continuing education of health professionals who provide palliative care to patients with serious or life-threatening illness; (5) provide students with clinical training in palliative care in long-term care facilities, home care, hospices, chronic and acute disease hospitals, and ambulatory care centers; (6) establish traineeships for individuals who are preparing for advanced education nursing degrees in palliative care nursing, home care, hospice, long-term care, or other nursing areas that specialize in palliative care; and (7) do not duplicate the activities of existing education centers funded under such Act. Authorizes the Secretary to make grants to, and enter into contracts with: (1) schools of medicine, schools of osteopathic medicine, teaching hospitals, and graduate medical education programs to provide support for projects that fund the training of physicians who plan to teach palliative medicine; and (2) eligible nurse practitioner, midwifery, nurse anesthesia, and advanced nurse education programs to meet the costs of palliative care and hospice career incentive awards. Directs the Secretary to: (1) establish a program to provide Palliative Medicine and Hospice Academic Career Awards to eligible individuals to promote their career development as academic hospice and palliative care physicians; (2) award grants or contracts to entities that operate a Palliative Care and Hospice Education Center; (3) award grants or contracts to advanced practice nurses, clinical social workers, pharmacists, chaplains, or students of psychology pursuing an advanced degree in palliative care or related fields to foster greater interest among a variety of health professionals in entering the field of palliative care; and (4) award grants to schools of nursing, health care facilities, or programs leading to certification as a certified nurse assistant to develop and implement programs and initiatives to train and educate individuals in providing palliative care in health-related educational, hospice, home, or long-term care settings.

Child Protection Act of 2012

Child Protection Act of 2012 - Amends the federal criminal code to impose a fine and/or prison term of up to 20 years for transporting, receiving, distributing, selling, or possessing pornographic images of a child under the age of 12. Requires a U.S. district court to issue a protective order prohibiting harassment or intimidation of a minor victim or witness if the court finds evidence that the conduct at issue is reasonably likely to adversely affect the willingness of the minor witness or victim to testify or otherwise participate in a federal criminal case or investigation. Directs the U.S. Sentencing Commission to review and amend the federal sentencing guidelines and policy statements to ensure that such guidelines provide an additional penalty for sex trafficking of children and other child abuse crimes. Allows the Director of the U.S. Marshals Service to issue an administrative subpoena for the investigation of unregistered sex offenders by the U.S. Marshals Service. Amends the PROTECT Our Children Act of 2008 to: (1) double the amount that the Attorney General may award a non-law enforcement agency entity annually to establish and conduct training courses for National Internet Crimes Against Children Task Force Program task force members and other law enforcement officials, (2) require the Attorney General to designate a senior official at the Department of Justice (DOJ) with experience in investigating or prosecuting child exploitation cases as the National Coordinator for Child Exploitation Prevention and Interdiction to be responsible for coordinating the development of the National Strategy for Child Exploitation Prevention and Interdiction, (3) authorize appropriations for carrying out such strategy for FY2014-FY2018, (4) delete a requirement that the National Internet Crimes Against Children Data System identify high-priority suspects based on the volume of suspected criminal activity, and (5) require the Attorney General to report within 90 days after enactment of this Act on the status of the establishment of such System.

Lead Exposure Reduction Amendments Act of 2012 - Amends the Toxic Substances Control Act (TSCA) to exclude from the definition of "abatement" any renovation, remodeling, or other activity: (1) the primary purpose of which is to repair, restore, or remodel target housing, public buildings constructed before 1978, or commercial buildings; and (2) that incidentally results in a reduction or elimination of lead-based paint hazards. Requires the Administrator of the Environmental Protection Agency (EPA), no later than one year prior to proposing any renovation and remodeling regulation, to study the extent to which persons engaged in such activities: (1) are exposed to lead, and (2) disturb lead and create a lead-based paint hazard. Exempts from any such regulation an emergency renovation that is carried out in response to an event that is an act of God as defined by the Comprehensive Environmental Response, Compensation, and Liability Act of 1980 (CERCLA), that presents a risk to the public health or safety, or that threatens to cause significant damage to equipment or property if not attended to immediately. Prohibits such a regulation from requiring post-abatement clearance testing. Requires the Administrator to promulgate regulations to permit an owner of a residential dwelling that is target housing, who resides in such dwelling, to authorize a contractor to forego compliance with such a regulation if the owner submits a certification stating that: (1) the renovation or remodeling project is to be carried out at such dwelling, (2) no pregnant woman or child under the age of six resides or will reside in such housing, and (3) the owner acknowledges that such contractor will be exempt from the requirements of such regulation. Prohibits the Administrator from holding a contractor responsible for a misrepresentation made by the owner of such dwelling unless the contractor has actual knowledge of such a misrepresentation. Requires the Administrator to: (1) recognize a qualifying test kit for use under such Act, and (2) suspend enforcement of any regulation relating to renovation and remodeling of target housing and commercial buildings constructed after January 1, 1960, and public buildings constructed between January 1, 1960, and January 1, 1978, until a specified period after the Administrator recognizes such a test kit.

Directs the Secretary to pay the interest that accrues on FFELs and DLs that are subject to income-based repayment provisions and are in deferment due to a borrower's lack of full-time employment. Limits these interest-free deferment periods to those occurring on or after this Act's enactment and covering no more than three years of full-time unemployment.

Voter Confidence and Increased Accessibility Act of 2011 [ sic ] - Amends the Help America Vote Act of 2002 (HAVA) to revise requirements for the audit capacity of voting systems, particularly those for a permanent paper record. Requires the voting system to require the use of an individual, durable, voter-verified paper ballot of the voter's vote that shall be marked and made available for inspection by the voter before the voter's vote is cast and counted, and which shall be counted by hand or read by an optical scanner or other counting device. Requires the voting system to provide the voter with an opportunity to correct any system-made error in the voter-verified paper ballot before it is permanently preserved. Requires each paper ballot used to be: (1) suitable for a manual audit, and (2) counted by hand in any recount or audit conducted with respect to any federal election. Sets forth a special rule for treatment of disputes when paper ballots have been shown to be compromised. Requires the Director of the National Science Foundation (NSF) to make grants to eligible entities to study, test, and develop accessible ballot voting, verification, and casting mechanisms and devices and best practices to enhance the accessibility of paper ballot voting and verification mechanisms for individuals with disabilities, for voters whose primary language is not English, and for voters with difficulties in literacy. Specifies additional voting system requirements and prohibitions. Requires the NSF Director to make grants to eligible entities to conduct research on the development of election-dedicated voting system software. Makes available additional funding to enable states to meet the costs of the requirements imposed by this Act. Provides for complaints to the Attorney General by persons aggrieved by violations of HAVA. Requires each state to administer audits of federal election results, without advance notice to the precincts selected, consisting of random hand counts of the voter-verified paper ballots. Makes an exception from this requirement for elections in which the winning candidate had no opponent or received 80% or more of the vote total. Prescribes requirements for determination of the number of ballots counted under the audit. Prescribes the process for administering audits. Requires the Election Auditor of a state, as soon as practicable after the completion of an audit, to submit the results to the Election Assistance Commission (EAC) for publication. Prohibits certification of the results of any election until completion of audits. Provides for payments to states for the costs of conducting audits. Exempts from this Act any election for which a recount under state law will commence before certification of the election results. Repeals the EAC's exemption from certain federal government contracting requirements.

Sets forth enforcement procedures and remedies under the Civil Rights Act of 1964, Congressional Accountability Act of 1995, Government Employee Rights Act of 1991, and the rights and protections extended to presidential offices. Directs the Equal Employment Opportunity Commission (EEOC) to issue regulations to carry out this Act, including the identification of reasonable accommodations addressing known limitations related to pregnancy, childbirth, or related medical conditions.

Amends title XVIII (Medicare) of the Social Security Act with respect to: (1) the Medicare disproportionate share hospital (DSH) adjustment for rural hospitals, (2) extension of the temporary increase in payments to certain rural hospitals (Medicare hold harmless provision), (3) the Medicare inpatient hospital payment adjustment for low-volume hospitals, (4) Medicare wage index reclassifications for certain hospitals, (5) Medicare reasonable costs payments for certain clinical diagnostic laboratory tests furnished to hospitals in certain rural areas, (6) elimination of the isolation test for the cost-based ambulance reimbursement for critical access hospitals, (7) the Medicare incentive payment program for physician scarcity areas, (8) extension of the 1.00 floor on Medicare work geographic adjustment to payments for physician services, (9) Medicare home health care planning, (10) rural health clinics, (11) a temporary Medicare payment increase for home health services furnished in a rural area, and (12) extension of increased Medicare payments for rural ground ambulance services. Amends the Medicare, Medicaid, and SCHIP Benefits Improvement and Protection Act of 2000 to provide for the extension of the payment for the technical component of certain physician pathology services under Medicare. Directs the Secretary of Health and Human Services (HHS) to encourage and facilitate the adoption of provisions allowing for multi state practitioner practice across state lines. Extends Medicare part A (Hospital Insurance) coverage and payment, on a reasonable cost basis, to anesthesia services furnished by a physician anesthesiologist in certain rural hospitals in the same manner as payment is made for anesthesia services furnished by a certified registered nurse anesthetists (CRNAs) in such hospitals. Establishes the floor at 1.00 on the practice expense geographic index for services furnished during a specified period in certain rural areas outside of frontier states under the Medicare physician fee schedule. Revises the standard for designation of sole community hospitals. Amends the Public Health Service Act to extend the authorization of appropriations for grants to states for operation of offices of rural health. Requires the proportion of members of the Medicare Payment Advisory Commission (MEDPAC) who represent the interests of health care providers and Medicare beneficiaries located in rural areas to be no less than the proportion of the total number of Medicare beneficiaries who reside in rural areas. Amends the Public Health Service Act to make revisions to the 340B drug discount program (a program limiting the cost of covered outpatient drugs to certain federal grantees). Includes drugs used in connection with an inpatient or outpatient service by enrolled hospitals as covered drugs under the program (currently, only outpatient drugs are covered under the program). Requires hospitals enrolled in the 340B program to provide to each state a credit on the estimated annual purchases by such hospitals of covered drugs provided to Medicaid recipients for inpatient use. Sets forth a formula for calculating the credit. Allows a hospital to avoid paying such credits under certain circumstances. Eliminates the requirement that hospitals enrolled in the 340B program report the National Drug Code numbers for drugs administered by a physician if the state is precluded from seeking a rebate on such drugs because they were purchased at a discount under the 340B program. Removes the exclusion that prohibited covered entities added to the 340B program under the Patient Protection and Affordable Care Act from purchasing drugs for a rare disease or condition as covered outpatient drugs. Treats a facility or organization that is eligible for the 340B program as satisfying any geographic location requirements in relation to a hospital or a critical access hospital for purposes of determining provider-based status under Medicare.

Prescribes requirements for payments for CRT items. Directs the Secretary to establish standards for clinical conditions for CRT item payment as well as quality standards for suppliers of such items. Directs the Secretary to establish a Healthcare Procedure Coding System (HCPCS) coding subset that uses specified HCPCS codes for CRT items. Requires payment for replacement of a CRT item (or any part of one), without regard to certain continuous use or useful lifetime restrictions established for items of durable medical equipment (DME), if a qualified ordering practitioner determines that a replacement item (or part) is necessary.

Domestic Fuels Protection Act of 2012 - Amends the Solid Waste Disposal Act to provide that no person shall be liable under any federal, state, or local law, and no provider of financial assurance may deny payment for a claim, because an underground storage tank, underground storage tank system, or associated dispensing equipment at a stationary facility is not compatible with any fuel or fuel additive for use in a motor vehicle, nonroad vehicle, or engine if such tank or equipment has been determined to be compatible pursuant to the guidelines and regulations issued under this Act. Directs the Administrator of the Environmental Protection Agency (EPA) to issue regulations setting standards for determining whether underground storage tanks and systems and associated dispensing equipment are compatible with any fuel or fuel additive that is authorized and registered by the Administrator or by statute for use in a motor vehicle or engine or nonroad vehicle, engine, or equipment. Deems tanks, systems, and equipment that are listed by a nationally recognized testing laboratory as compatible with such a fuel or fuel additive as of the date of enactment of this Act to be compatible under such regulations. Amends the Clean Air Act to prohibit a person selling such fuel who complies with such regulations from being liable under any federal, state, or local law if: (1) a self-service purchaser introduces any such fuel into a vehicle, engine, or equipment for which the fuel has not been approved under such Act; or (2) the introduction of any such fuel voids the warranty of the manufacturer of such vehicles, engines, or equipment. Excludes from such protection: (1) a person who sells a transportation fuel and does not comply with the misfueling regulations adopted by the Administrator, and (2) a person who intentionally misfuels. Prohibits filing or maintaining in any U.S. or state court any civil action or proceeding against an entity engaged in the design, manufacture, sale, or distribution of any qualified product or of any motor vehicle, engine, or nonroad equipment for damages, abatement, restitution, fines, penalties, or other relief resulting from the introduction of any such product into a motor vehicle, engine, or nonroad equipment. Requires actions filed or pending upon enactment of this Act to be dismissed with prejudice. Defines a "qualified product" as any fuel or fuel additive that is registered under federal law or any transportation fuel or fuel additive that contains renewable fuel and that is designated for introduction into interstate commerce under federal law, any component thereof, or any blend stock. Prohibits a qualified productfrom being considered a defective product if it does not violate a control or prohibition with respect to any of its characteristics or components imposed by the Administrator under the Clean Air Act.

Authorizes such program to be based on the 20-year capital investment strategy contained in the Inland Marine Transportation System (IMTS) Capital Projects Business Model, Final Report published on April 13, 2010, as approved by the Board. Amends the Internal Revenue Code to limit expenditures from the Inland Waterways Trust Fund to 50% of the total cost of the construction or rehabilitation project. Prohibits expenditures from the Fund for: (1) construction or rehabilitation of dams, or (2) rehabilitation expenditures equal to or exceeding $100 million.
