Summary
Eelnõuga lihtsustatakse osaühingu osade võõrandamist ning kaotatakse ebavajalikud piirangud ja vorminõuded. Eelnõuga kehtestatakse osa miinimumväärtuseks senise ühe euro asemel üks sent, tunnistatakse kehtetuks osa võõrandamise ja pantimise kohustustehingu vorminõue kõigi osaühingute jaoks ning võimaldatakse sellisel osaühingul, mille sissemakstud osakapital täidab ettenähtud miinimumnõude, näha kõigi osanike nõusolekul põhikirjas ette osa võõrandamise ja pantimise käsutustehingu lihtsustatud kord, st kirjalikku taasesitamist võimaldav vormivabadus. Osaühingu osa nimiväärtuse vähendamine ühelt eurolt ühele sendile võimaldab paindlikumalt määrata osaühingu osade suurusi. Kehtiva õiguse kohaselt peab notariaalselt tõestatud olema nii osaühingu osa võõrandamise ja pantimise kohustustehing kui ka käsutustehing (välja arvatud juhul, kui osaühingu osad on registreeritud Eesti väärtpaberite registris).
