Summary
Eelnõuga ühtlustatakse jaeinvestoritele suunatud eurofondide ning riskikapitali- ja kinnisvarafondide (alternatiivfondide) piiriülese pakkumise reegleid ja võetakse selleks üle ELi vastavad mitmed direktiivid. Eelnõuga lisatakse investeerimisfondi eelturustamise võimalus, millega antakse fondivalitsejatele võimalus nö kompida investorite huvi fondi investeerimise vastu ilma, et fondivalitseja peaks tegema siduvat pakkumist. Eelnõuga muudetakse väiksemahuliste fondide valitsejate registreerimise tingimusi FIs. Väikefondi puhul jääb fondi varade maht alla 100 miljoni euro, nende üle FI üldjuhul järelevalvet ei tee, vaid registreerib üksnes nende tegevuse. Kokku on FI tänaseks registreerinud 55 väikefondivalitsejat. Eelnõuga nähakse ette, et eurofondi fondivalitsejad peavad oma tegevuses, näiteks riskijuhtimises, arvesse võtma jätkusuutlikkusriske. Jätkusuutlikkusriskid on sotsiaalseid, üldjuhtimisega seotud (corporate governance) ja keskkonnaalaseid tingimused, mis võivad negatiivselt mõjutada investeeringute väärtust. Eelnõuga täpsustatakse investeerimisteenuste osutajate pankade, investeerimisühingute ja fondivalitsejate investeerimistoodete – väärtpaberite – väljatöötamise ja kujundamise nõudeid. Investeerimisteenuste osutajad peavad määratlema, millistele kliendiliikide jätkusuutlikkuse eesmärkidega konkreetne väärpaber sobib. Eelnõuga võimaldatakse pensionifondidel investeerida väärtpaberitesse, mille alusvaraks on toore või mille hind sõltub toormest. Seni ei ole sellistesse instrumentidesse investeerimine lubatud olnud. Eelnõu kohaselt võib seda edaspidi teha kuni 25% ulatuses pensionifondi vara väärtusest. Selliseks väärtpaberiks võiks olla nt tuletisväärtpaber, eelkõige futuurid, mille alusvaraks on nafta, erinevad põllumajandussaadused. Eelnõuga antakse pensionifondidele paindlikumad võimalused teha oma investeeringuid läbi enda kontrolli allolevate äriühingute (SPVde). Eelnõuga muudetakse krediidiandjate suhtes kehtivaid nõudeid, mis seonduvad eelkõige tegevusloa režiimiga. ELi õiguse kohaselt võib finantsjärelevalveasutus krediidiandja tegevusloa kehtetuks tunnistada muuhulgas juhul, kui viimane ei ole väljastanud krediiti eelneva 6 kuu jooksul. Eestis oli selleks perioodiks kehtestatud 12 kuud. Muudatusega viiakse kehtiv seadus kooskõlla direktiivi nõuetega.
