Summary
Eelnõuga tagatakse riigi osalusega börsil noteeritud äriühingute tegevuse kooskõla börsireeglitega ning kõigi aktsionäride võrdne kohtlemine. Eelnõu on seotud vajadusega muuta riigivaraseadust, et oleks börsil oleks võimalik noteerida AS Tallinna Sadama aktsiaid. Eelnõuga sätestatakse, et riigi osalusega äriühingu puhul, mille väärtpaberid on noteeritud börsil või mille noteerimiseks on esitatud avaldus, ei kohaldata neid riigivaraseaduse sätteid, mis on vastuolus väärtpaberiturul kehtivate äriühingu juhtimise, teabe avalikustamise ja erikontrolli tegemise nõuetega. Kehtiv seadus ei ole piisav, et ühemõtteliselt tagada riigi osalusega börsil oleva äriühingu juhtimine väärtpaberituru reeglite järgi ning kõigi aktsionäride võrdne kohtlemine. Eelnõu muudatuste kohaselt ei saa valitsus edaspidi küsida äriühinguga seotud otsuste tegemiseks äriühingu mitme aasta strateegiat ja finantsplaane. Samuti ei ole hea tava, et börsil oleva äriühingu iga-aastane dividend otsustatakse valitsuse tasandil. Edaspidi ei ole riigil õigust äriühingu erikontrolli läbiviimiseks kasutada oma struktuuriüksust ega ministril õigust saada nõukogu koosolekute protokolle ja materjale, mida käsitletakse siseinfona. Kohaldada ei saa ka nõuet, et riigi osalusega äriühingute osalemine teistes äriühingutes peab olema otsustatud üldkoosoleku poolt. Seletuskirjas märgitakse, et riigil on 2017. aasta detsembri seisuga osalus 29 jätkuvalt tegutsevas äriühingus. Valitsusel plaanis börsil noteerida AS Tallinna Sadama ja AS Enefit Green aktsiad.
