<strong>Bezug:</strong> Das Gesetzesvorhaben ist Bestandteil des Aktionsprogramms für mehr Wachstum und Beschäftigung (Entschließung des Deutschen Bundestages vom 20.1.1994 Drs 12/6625); siehe auch den textidentischen Gesetzentwurf der Fraktionen der CDU/ CSU und F.D.P. D73 (BT-Drs 12/6885); siehe auch C164, C166, C167, C171, D70, E37, E38 und G58<br /> <br /> <strong>Inhalt:</strong> Anpassung der steuerrechtlichen Vorschriften an die Reform des Umwandlungsrechts, Beseitigung steuerlicher Hemmnisse und Eröffnung neuer Möglichkeiten zu steuerneutralen Umstrukturierungen von Unternehmen: steuerneutrale Verschmelzung von Körperschaften auf Personengesellschaften und natürliche Personen, steuerneutrale Spaltung von Körperschaften, Erweiterung der Möglichkeit der Übertragung nicht verbrauchter Verluste der übertragenden Gesellschaft auf die übernehmende Gesellschaft; Änderung des Umwandlungssteuergesetzes, Änderung der §§ 30, 38 und 54, Einfügung der §§ 38a und 38b Körperschaftsteuergesetz. Es entstehen keine Kosten.<br /> <br /> <strong>Änderungen aufgrund der Ausschußempfehlung:</strong> Zusammengeführt mit der BT-Initiative auf BT-Drs 12/6885 (s. GESTA D73); Vermeidung einer doppelten steuerlichen Berücksichtigung von Versorgungsleistungen für Arbeitnehmer bei Verschmelzung einer Unterstützungskasse auf das Trägerunternehmen, Verminderung von Spaltungshemmnissen durch Abmilderung der Mißbrauchsregelungen, strukturelle Neufassung der Einbringungstatbestände, Verbesserungen zugunsten ehemals gemeinnütziger Wohnungsunternehmen und Vermietungsgenossenschaften im Bereich der Verlustverrechnungsregelungen bei der Körperschaftsteuer; Änderung der §§ 8 und 9 Gewerbesteuergesetz, des § 4 Außensteuergesetz sowie des § 1 Mitbestimmungs-Beibehaltungsgesetz mit redaktionellen Anpassungen; Änderung der §§ 10 und 52 Einkommensteuergesetz: Einbau einer Bagatellgrenze bei der Einschränkung des steuersparenden Einsatzes von Kapitallebensversicherungen u.a.m.<br /> <br /> <strong>Nebenschlagwörter:</strong> Unternehmensform/Erleichterung steuerneutraler Umstrukturierungen von Unternehmen * Körperschaftsteuergesetz/Änderung der §§ 30, 38 und 54, Einfügung der §§ 38a und 38b KStG betr.
