Summary

Verbesserung der Aktionärsinformation bei börsennotierten Gesellschaften, Erleichterung der grenzüberschreitenden Ausübung von Aktionärsrechten; Modernisierung, Deregulierung und Flexibilisierung des Aktienrechts zur Entlastung der Gesellschaften und im Interesse der Aktionäre; Nutzung von Deregulierungsoptionen aus der Richtlinie 2006/68/EG zur Kapitalaufbringung durch Sacheinlagen und den Erwerb eigener Aktien; Eindämmung missbräuchlicher Aktionärsklagen; Änderung und Einfügung versch. §§ Aktiengesetz, Änderung weiterer elf Gesetze und drei Rechtsverordnungen Im Vollzug werden die Haushalte der Länder geringfügig entlastet. Beschlussempfehlung des Ausschusses: Übernahme der Regelungen zur verdeckten Sacheinlage und der Einlageforderung aus dem GmbH-Gesetz sowie von Praxisanregungen betr. Formvorschriften der Hauptversammlung; Einführung einer erstinstanzlichen Zuständigkeit von Oberlandesgerichten in Beschlussmängelstreitigkeiten, Unanfechtbarkeit, Berichterstattung der Bundesregierung betr. Verfahrensverkürzung; europarechtliche Anpassung der Stimmrechtsvollmacht bei der Volkswagen AG; redaktionelle Änderungen und Korrekturen; Zusätzliche sowie erneute Änderung versch. §§ Aktiengesetz sowie versch. weiterer Gesetze und zusätzliche Änderung Art. 66 Abs. 5 Einführungsgesetz zum Handelsgesetzbuch, versch. §§ GmbHG, § 3 VW-Gesetz sowie § 43 Handelsregisterverordnung Angenommener Änderungsantrag: Redaktionelle Korrekturen Bezug: Siehe auch GESTA 15.
