Europäische Impulse: Umsetzung der Richtlinie 2005/56/EG betr. Verschmelzung von Kapitalgesellschaften aus verschiedenen Mitgliedstaaten der EU vom 25. November 2005 (ABl. EG Nr. L 310, 25.11.2005, S. 1) Inhalt: Umsetzung der Richtlinie 2005/56/EG in nationales Recht betr. grenzüberschreitende Verschmelzung von deutschen Kapitalgesellschaften mit Kapitalgesellschaften anderer EU- Mitgliedstaaten, Umsetzung von Verbesserungsvorschlägen zum Umwandlungsgesetz, u.a. auch Umsetzung von Vorschlägen aus dem Bericht der Regierungskommission Corporate Governance von Juli 2001; Änderung und Ergänzung versch. §§ Umwandlungsgesetz und Spruchverfahrensgesetz, Änderung §§ 319 und 327c Aktiengesetz, § 33 GmbH-Gesetz und der Handelsregistergebührenverordnung. Es entsteht keine Kostenbelastung für öffentliche Haushalte. Änderungen aufgrund der Ausschußempfehlung: Ausschluss der Rechtsbeschwerde im umwandlungsrechtlichen Freigabeverfahren entsprechend der Entscheidung des Bundesgerichtshofs (BGH 168, 48) vom 29. Mai 2006, Gläubigerschutz bei Übernahmen durch Gesellschaften außerhalb des deutschen Rechts, besonderer Schutz für Betriebsrenten, Informationspflichten zur Lage von Kapitalgesellschaften.
