Summary

Umsetzung zwingender und einiger optionaler Regelungen der EU-Richtlinie 2009/109/EG in deutsches Recht: Reduzierung der Verwaltungslasten bei Verschmelzungen und Spaltungen unter Beteiligung von Aktiengesellschaften und ggf. weiterer Gesellschaftsformen durch Regelungsverzicht bzw. Erleichterungen für Berichtspflichten, Sachverständigenprüfungen, Information der Anteilsinhaber und Veröffentlichung von Unterlagen; Änderung versch. §§ Umwandlungsgesetz, § 8a Finanzmarktstabilisierungsfondsgesetz sowie §§ 79 und 79a Kostenordnung Die Haushalte der Länder werden im Vollzug geringfügig entlastet. Beschlussempfehlung des Ausschusses: Unterrichtungspflicht über Vermögensveränderungen in der Hauptversammlung nur bei beteiligten Aktiengesellschaften; Verzicht auf Änderung § 8a Finanzmarktstabilisierungsfondsgesetz Bezug: Richtlinie 2009/109/EG vom 16. September 2009 zur Änderung der Richtlinien 77/91/EWG, 78/855/EWG und 82/891/EWG des Rates sowie der Richtlinie 2005/56/EG hinsichtlich der Berichts- und Dokumentationspflicht bei Verschmelzungen und Spaltungen (ABl. EG Nr. L 259, 02.10.2009, S. 14)
