Summary
Seadust muudetakse, et tõhustada riigi osaluse valitsemist ning muuta nõukogude ja siseauditi regulatsioon paindlikumaks ja selgemaks. Ministeerium kui osaluse valitseja saab edaspidi ise valida ja tagasi kutsuda oma esindaja riigi äriühingu nõukogus ilma nimetamiskomitee ettepanekuta. See vähendab nimetamiskomitee töökoormust ja annab osaluse valitsejale suurema paindlikkuse. Väheneb nende sihtasutuste hulk, kus üks nõukogu liige tuleb nimetada rahandusministri ettepanekul 59-lt 20-le. See kohustus jääb ainult suurematele sihtasutustele. Oluliselt tõstetakse siseauditi kohustuse rakendumise lävendeid. Uus kohustus tekib, kui bilansimaht ületab 15 miljonit eurot või tulud 10 miljonit eurot. Siseaudiitorist saab loobuda vaid juhul, kui puudub auditikomitee kohustus ja kasutatakse riigi osaluse valitseja või asutajaõiguste teostaja siseauditi üksust. Siseauditi kohustusega äriühingute arv tõuseb 18-lt 19-le, sihtasutuste arv väheneb 47-lt 20-le. Osaluse valitsejale antakse selgesõnaline õigus tutvuda nõukogu töö ja siseauditi dokumentidega, näiteks protokollide ja audititulemustega. See parandab riigiettevõtete juhtimise läbipaistvust ja järelevalvevõimalusi. Seletuskirjas märgitakse, et 31. juuli 2025 seisuga oli riigil osalus 27 äriühingus, sh 3 mitteaktiivset; 65 sihtasutuses ja 15 MTÜs.
