The purpose of amending the law is to develop the Estonian capital market, simplify the involvement of corporate financing and expand investment opportunities. The changes are largely based on European Union regulation.
The bill makes it more flexible for companies to go public by reducing the requirement for freely traded shares from 25 percent to 10 percent. The draft amends the current law so that in the future, a prospectus does not have to be drawn up if the volume of the issue is less than 12 million euros. The costs of preparing a prospectus may be disproportionate compared to the total price of organizing smaller issues. Therefore, less than 12 mln in the case of euro-sized issues, the issuer must prepare a simpler information document instead of a prospectus. The bill enables the Financial Supervision Authority to apply fines more proportionately in cases of violations related to market abuse, according to which the fine can be determined as a percentage of the company's turnover. The maximum percentage rate is stipulated in the law.

In Estonia, the number of derivative and repo transactions and the market volume are very small. The current regulation is incomplete and does not correspond to international practice.

Eelnõu on kohaselt tõstetakse tulumaksuvaba tulu 654 euroni kuus. Lisaks pikendatakse eelnõuga tulumaksuvabade annetuste ja kingituste tegemise võimalust residendist juriidiliste isikute poolt Ukraina territoriaalse terviklikkuse ja suveräänsuse säilitamiseks ning sihtotstarbeliselt humanitaarabi andmiseks ja korraldamiseks. Muudatus põhineb Eesti Reformierakonna, Isamaa Erakonna ja Sotsiaaldemokraatliku Erakonna koalitsioonilepingul.
Eelnõu kohaselt tõstetakse füüsilise isiku maksuvaba tulu 6000 eurolt 7848 euroni aastas, st 500 eurolt 654 euroni kuus. Muudatus ei puuduta vanaduspensioni saajaid, kellele hakkab järgmise aasta 1. jaanuarist kehtima maksuvaba tulu keskmise vanaduspensioni ulatuses ja kelle tulule regresseeruv maksuvaba tulu ei kohaldu. 2022. aasta suveprognoosi kohaselt on 2023. aasta keskmine vanaduspension 704 eurot.

Samuti vähendab regulatiivset koormust professionaalsetele investeerimisteenuste osutajatele ja tõstab hoiuste tagamise hüvitamise määra. Eelnõuga võetakse üle kaks vastavat ELi direktiivi.
Eelnõu näeb ette Finantsinspektsiooni õigused nõuda investeerimisühingutelt teatud juhtudel täiendavat kapitali ja likviidsete vahendite hoidmist. Eelnõuga muudetakse investeerimisühingute kapitalinõuded vastavalt sellele, milliseid teenused nad osutavad. Muudetakse investeerimisühingute juhtide ja juhtivtöötajate palkade maksmise tingimusi, mis praegu on samuti reguleeritud sarnaselt pankadele.
Ühtlasi vähendatakse eelnõuga regulatiivset koormust investeerimisteenuste osutajatele, näiteks pankadele, investeerimisühingutele ja fondidele.
Riigi majandusaasta koondaruande eesmärk on anda ülevaade riigieelarves seatud eesmärkide saavutamisest, riigi finantsseisundist, finantstulemusest ja rahavoogudest ning võimaldada Riigikogu poolse kontrollifunktsiooni teostamist Vabariigi Valitsuse suhtes. Riigi majandusaasta koondaruande juurde kuulub Riigikontrolli kontrolliaruanne.
Eelnõuga võetakse pandikirjaseadusesse üle ELi direktiiv, mis käsitleb pandikirjade emiteerimist ja pandikirjade avalikku järelevalvet ning millega muudetakse sellega seotud direktiivide nõudeid.
Eelnõuga luuakse senisest parem võimalus krediidiasutusel emiteerida pandikirju, mille tagatisvara asub erinevates liikmesriikides. Ning seda eelkõige Balti riikides kuna siin toimetavad suuresti samad pangandusgrupid ning seeläbi saab integreerida rohkem Balti riikide kapitaliturge.
Eelnõu peamisteks eesmärkideks on finantsstabiilsuse tagamine ja suurendamine, eelkõige pangandussektori usaldusväärsuse ja läbipaistvuse tagamine ning pankade (krediidiasutuste) nn vastupanuvõime tõstmine stressi- või kriisiolukordades. Samuti krediidiasutusele proportsionaalsemate nõuete kehtestamine ja nõuete suurem sidumine krediidiasutuse võetud riskidega.
Eelnõu puudutab piiriüleseid skeeme, mis võimaldavad maksude agressiivset planeerimist, vara tegeliku kasusaaja peitmist või raskendavad pangakontode alast teabevahetust. Kehtiva õiguse kohaselt tuleks maksunõustajatel, pankadel ja maksumaksjatel hakata skeemide kohta maksuhaldurile teavet edastama alates 31. juulist 2020. Eelnõu kohaselt on uus tähtaeg 31. jaanuar 2021.
